By signing, you acknowledge that the fees (including late fees and restocking fees) represent a reasonable estimate of the administrative and operational costs incurred by ROOMO and are not a penalty.
1. ACCEPTANCE OF AGREEMENT
This Furniture Rental Agreement (this "Agreement") is by and between ROOMO LLC (hereinafter referred to as "ROOMO", "we", "us", or "our") and you. For purposes of these Terms, “you” and “your” means you as the user and customer. If you use the Services on behalf of a company, “you” includes that entity, and you warrant that (a) you are an authorized representative with authority to bind the entity, and (b) you agree on its behalf. Your electronic acceptance has the same legal force as a written signature. You agree not to challenge the validity of this agreement on the grounds that it was electronically transmitted.
2. Payment Authorization & Deposit
By clicking to accept, you agree to these terms and permit ROOMO to automatically process all due fees or charges from any payment methods on record without additional written consent. You agree that (a) we may store your payment methods and (b) you have the legal right to use them. The security deposit is equal to one month’s rental fee. All fees are payable in accordance with the payment terms in effect at the time they become due.
3. Title
Furniture rented from ROOMO is the sole property of ROOMO LLC. You shall not obtain any ownership rights. You may not (i) assign, transfer, pledge, or dispose of your rights under this Agreement or the Furniture, or (ii) sublet or lend the Furniture.
4. ID Verification
ROOMO maintains the right to require a photo copy of your Driver’s License or State ID and/or documentation of your Date of Birth (DOB) prior to delivery.
5. Appointments: Delivery; Pick-ups; Swaps; Service Calls
Delivery: We will deliver Furniture to the approved "Location" on the approved date. You or a designated individual (18+) must be present to sign. If you are not present, your representative’s signature binds you and your account to all agreements made during the appointment.
Delivery Hours: Between 9:00 A.M. and 6:00 P.M. local time. We will do our best to accommodate requests, but no assurances are made. Please schedule at least (7) days in advance if possible.
Notice Period: You must notify us no less than two (2) business days in advance to change or cancel a delivery or pick-up date. (e.g., For a Friday appointment, notify us in writing before Wednesday. For Monday, notify us by 5 PM EST on Friday.)
Missed Appointment Fee: Missed appointments result in a fee of up to $300. This includes (but is not limited to) missing COI requirements, unreserved elevators, or no one available to provide access.
Force Majeure: We reserve the right to change delivery dates due to unforeseen circumstances (weather, traffic, etc.). You will be notified in advance.
Measurement & Restocking: You are responsible for measuring the Location to ensure fit. If an item cannot be delivered because it does not fit or due to your fault, a $79 per item restocking fee applies. This fee will be deducted from the furniture's cost in subsequent rent.
Inspection: You are solely responsible for inspecting furniture upon delivery. Notify us of any damage within three (3) days, or the Furniture is conclusively deemed satisfactory.
Furniture Condition: Gently used pieces are cleaned, structurally sound, and functional. Leather/fabric may show natural wear; wood/stone may have light scratches. Fabric items will arrive free of stains and tears.
Delivery Fees: You are entitled to one (1) free delivery/assembly and pick-up in NYC. Additional appointments during an active term are subject to a $249 fee.
Swap Policy: Swaps are not permitted during an active term but available upon extension with a 7-day notice. You must email your intent to swap 2 months in advance and lock in specific items no later than 14 days before the term expires. Availability is subject to ROOMO inventory.
Outside NYC: For appointments outside NYC, fees apply based on the distance from our warehouse.
Early Return: If you return all/part of an order and notify us within the first three (3) days of the term, we will issue a full refund less a $300 pick-up fee.
Walk-ups: If your building does not have an elevator and is higher than 5 floors, you must notify us in advance. We will evaluate the delivery feasibility and either approve or cancel your appointment based on our assessment. Such applications are approved or denied at the sole discretion of ROOMO LLC. Failure to notify results in a $250 rescheduling fee.
Elevator: If the elevator is not functioning on the day of the appointment, we must reschedule.
6. Furniture Pickup; Pickup Fees
Two weeks' advance notice is required for pick-up upon expiration/termination. If you extend your initial term, you are entitled to a free swap. If we cannot communicate with you regarding end-of-term options prior to expiration, you agree we may charge your payment method for the value of the Furniture. Such charges are final and non-refundable. ROOMO LLC reserves all legal rights to collect past due balances, retail value, and attorney’s fees.
7. Furniture Care, Use and Location
Normal wear and tear is not charged; however, you must maintain Furniture in good condition at your expense. You are responsible for damages beyond ordinary wear (smoke, misuse, heavy soiling, etc.). Furniture is for personal residential use only; commercial use (Airbnb, staging, corporate housing) requires prior written consent. You may not repair or relocate Furniture without consent. Unauthorized relocation results in a $250 penalty. Contact hello@roomonyc.com for assistance.
8. Recurring Payments
Rental fees are charged every 30 days. You are responsible for keeping payment methods current. A 7-day grace period is provided for failed payments, after which a $50 late fee applies. Accounts past due beyond 30 days incur additional late fees and interest. ROOMO LLC reserves the right to suspend accounts past due beyond two months. Fraudulent payment methods result in immediate termination.
9. Lease Modification & Early Termination
If you cancel an active rental account or item, you must pay the difference for the duration used. Upon early termination, we will adjust the rate to the monthly tier price corresponding to your actual rental duration and collect the difference from previous payments.
EXCEPTION: For terms of 4 months or less, the full remaining balance must be paid upon early termination. In the event of extraordinary circumstances or force majeure, please contact hello@roomonyc.com. ROOMO LLC reserves the right, at its sole discretion, to discuss alternative arrangements on a case-by-case basis.
You may modify your term length after the 4th month of the lease. For 12-month terms (or extensions totaling 12 months), rates remain fixed for further extensions. Every 12 months, we provide one free delivery, assembly, and swap/pick-up service.
10. Legal Terms
Risk of Loss: You bear all risks of loss/damage to Furniture from any cause.
Remedies: ROOMO LLC reserves all legal and equitable remedies for breach of this Agreement.
Indemnity: You agree to indemnify ROOMO from claims/damages arising from your use of Furniture or breach of contract.
Disclaimer: ROOMO makes no implied warranties regarding merchantability or fitness for a particular purpose.
Misapplication: Intentional refusal to return Furniture valued over $100 may lead to criminal prosecution in New York, punishable by a $1,000 fine or up to one year in prison.
Governing Law: This Agreement is governed by New York law. You waive the right to a jury trial.
Damages: ROOMO LLC’s liability shall not exceed the fees paid for each furniture rental.
